Sole Proprietorships

Any individual can engage in business in his own right. Except certain qualification requirements in certain professions, the main legal matter is the requirement to register the business name and obtain a Business Registration Certificate.

Partnerships

Partnerships are governed by the Chapter 37 - Partnership Ordinance and Chapter 38 - the Limited Partnership Ordinance in Hong Kong Common Law both based upon the equivalent English Acts. Each type can have up to 20 partners, corporate or individual.

Partnership assets are owned jointly by the partners who are also jointly and severally liable for partnership liabilities. If a Limited Partnership is formed the liability of some partners can be limited as long as they do not take part in the active management of the partnership.
